Welcome to VwD Technologies Inc. (“VwD”, “we”, “our”, or “us”). These Terms of Service (“Terms”) govern your access to and use of VwD’s website (vwd.ai) and related software-as-a-service platform, including analytics, reports, and all associated features (collectively, the “Platform”). By accessing or using the Platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use VwD.
1. Overview
VwD provides analytics and brand safety solutions that collect and analyze publicly available social and web data in compliance with third-party platform terms.Your use of the Platform is conditioned on your acceptance of these Terms. VwD may update these Terms periodically; continued use after such changes constitutes acceptance.
2. Accounts and Access
You must be at least 18 years old and have the authority to enter into these Terms. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree not to share your account with others or permit unauthorized access.VwD may suspend or terminate access for any suspected misuse, security risk, or breach of these Terms.
3. Acceptable Use
You agree not to: Copy, scrape, export, or resell any data or software from the Platform. Interfere with or disrupt the Platform’s operation.Use the Platform for any unlawful, defamatory, or discriminatory purpose.Violate any applicable laws or third-party platform terms (e.g., Meta, TikTok, YouTube, Reddit). Attempt to reverse engineer or circumvent any Platform security feature. VwD reserves the right to monitor and restrict activity that violates this policy.
4. Subscriptions, Fees, and Termination
Access to certain VwD services may require a subscription, enterprise agreement, or payment of fees.Fees are billed in accordance with your selected plan or agreement and are non-refundable, except where required by law.VwD may modify pricing with notice prior to renewal. Either party may terminate the account for material breach by providing written notice.Upon termination, your access will cease, and VwD may delete stored data after a reasonable period.
5. Intellectual Property
All Platform software, algorithms, analytics, reports, and related content are owned by VwD Technologies Inc. and protected by U.S. and international laws. Except for limited rights to access and use the Platform under these Terms, no license or ownership interest is transferred to you.You may not copy, modify, or distribute any VwD intellectual property without express written consent.
6. User Content
You may provide input, feedback, or uploaded data (“User Content”) to the Platform.By submitting User Content, you grant VwD a non-exclusive, worldwide, royalty-free license to use, process, and display such content solely for providing and improving the Platform.You represent that:You have all necessary rights to the User Content.Your content does not infringe any third-party rights, defame others, or violate law. VwD reserves the right to remove any unlawful or infringing content at its discretion.
7. Data Sources and Third-Party Platform Compliance
VwD processes publicly available data and API-permitted data from third-party platforms in accordance with their respective policies, including:

VwD does not bypass, scrape, or access data in violation of any platform’s terms. If a platform changes its policies or API access, VwD may modify, suspend, or discontinue related features without liability.
8. Data Accuracy and Availability
The Platform and its analytics are provided “as is” and “as available.”VwD does not guarantee that data will be accurate, complete, uninterrupted, or error-free.Public data, API access, and social content may change or be removed without notice.You acknowledge that all use of VwD insights is at your own risk.
9. No Regulatory or Legal Advice
VwD’s analytics and suitability scores are informational tools. They are not legal, compliance, or regulatory advice, and should not be relied upon as such. Users are solely responsible for verifying compliance with applicable laws, regulations, and internal standards.
10. Liability Disclaimer and Limitation
To the fullest extent permitted by law: VwD disclaims all warranties, express or implied, including merchantability, fitness for purpose, and non-infringement. VwD shall not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, or data. VwD’s total liability for any claim shall not exceed the total amount paid by you to VwD in the twelve (12) months preceding the event giving rise to the claim. These limitations apply to all causes of action, whether in contract, tort, or otherwise.
11. Indemnification
You agree to indemnify, defend, and hold harmless VwD Technologies Inc., its officers, employees, contractors, and affiliates from any claims, damages, or expenses arising out of:Your use of the Platform,Your breach of these Terms, orYour violation of any third-party rights or applicable laws.
12. Force Majeure
VwD shall not be liable for delays or failures resulting from causes beyond its reasonable control, including but not limited to natural disasters, power or internet outages, cyberattacks, governmental actions, or service disruptions from third-party providers.
13. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.Any disputes arising from these Terms shall be resolved exclusively in the state or federal courts of New York County, New York, and both parties consent to such jurisdiction.
14. Modifications
VwD may modify these Terms at any time.Material changes will be posted on this page with a new effective date. Continued use of the Platform after such updates constitutes your acceptance.

16. Entire Agreement
